With my super huge Norton AV 2005, my computer takes all of 3 seconds to shut down...and my computer is 3 years old now.

ive had this problem a couple times on two different computers, one laptop and one desktop, both with nvidia graphics cards, it IS an nvidia driver related problem....atleast for me, try different versions of drivers for ur video card...for me it would change the amount of time it would take for windows to boot up and shut down...
