This can be used as an upgrade, but a previous OS is NOT needed.

this is NOT OEM, it's RETAIL.

this is NOT and Upgrade, it is the FULL version if you don't have a previous OS.

If you want to get rid of this you'll have to list below OEM prices.

I would suggest $80 if you want a quick sale.

The licensing restrictions on OEM sales are so lax for Windows that you can walk into one of a dozen of local computer stores and buy a copy in person on the spot. It's so common now that almost nobody buys retail.

The one advantage to a retail copy is that its legal to sell it to someone else. At this point in the game though, Windows XP is yesterday's operating system. It will become more and more unsupported in the next few years. Nobody will be buying retail copies with the notion that they can "resell" when they upgrade.
