My system appears to hang on AGP440.SYS but this is only because that is the last driver that appears to load while booting into safemode. My system is up to date on all drivers and updates. No virues and was working perfect up until saturday. Here is what I've tried:

-adding /bootlog to boot.ini
shows everything after agp440.sys isn't loading

-booting safemode, last known good configuration
same result

-booting to my xp cd and a 98 bootdisk
still won't boot

-ran my hd in another pc
didn't work but people say this may not anyways with xp

-ran my hd as a slave in the other machine, ran chkdsk...etc....
I can still browse all my files but it still wouldnt boot after

-tried different ram, ran ramtest86
no errors, still won't boot

-removed everything in the pc except for the power supply, mobo and hd
still won't boot

-spent hours tweaking bios, turned off all resources and tried turning them on one by one
still nothing

Now the pc won't even show the XP status bar screen and I can't get to the boot menu anymore, it just hangs

I did a search on xp for agp440.sys and there are thousands of people who have a similar problem and it seems like its different things for everybody.

Anybody have any suggestions

since u have access to another comp, this would be a good time to backup your stuff, and do a fresh install of xp.

Looks to be a hardware problem. I've seen wacky stuff like this before.

In BIOS, try a few things. Some have AGP speed selection, turn it all the way down. Also, some mb's have a max amount of memory that the AGP bus can access directly. Turn that to 0 if that's an option, or as far down as possible.

Those tricks might get you into XP just long enough to do some work/backup and recover :).

AGP440.sys seach results. AGP440.sysAppears as the problem but it's just the last item loaded before windows that's all, so it's not the problem.
