Starter kill dissables your starter as the name implies when you alarm is armed. Anti Grind is a freature of lets say a compustar alarm system. When you remotely start the car, you can get in but you cant drive unless you put the key in and turn it to on position. Well how do you know how far to turn it? With antigrind you don't care have at it, turn as far as you can and it won't grind.

It's a relay inline with the starter wire from the ignition switch, the 'brain' of the unit can open or close the relay depending on conditions. The relay will be open if the car has been remote started, as Aleks said, so you don't grind the starter when you get in as power can't go to the starter. When the car is started normally the 'brain' of the starter unit allows the starter circuit to close and engage the starter as usual.
