Apparently it was with respect to their private mutual fund trust structure. If anybody cares, these structures would have limited partnerships own the business (non-taxable entities), and all the cash flow/income would be paid up through a series of non-taxable trusts, that would pay out the cash to individuals that would hold their trust investment in their RRSP. The effect was the business would pay (almost) no corporate tax on their income, and the individuals would have a deferral on any personal tax on the income until it was withdrawn from their RRSP.Originally posted by Sugarphreak
They are just crying foul over the CRA and trying to make it sound worse than it is. Don't get sucked in.
The claim against them is for all 3 companies, not just them, which as I understand it, is a common way for CRA to do it when they can't account for money being moved around between them. CRA also uses estimates when no paper work is available to come up with a maximum amounts to ensure they cover their bases.
All likely a result of Cardel being shifty. They just need to support their tax returns and they probably owe just a quarter of that.

Ultimately, it was a pretty crafty (or shifty depending on your view) idea with a lot of pretty specific requirements for it to work properly. But, it was all possible within the letter of the law until it was killed in the federal budget a few years back, similar to the old public income trust structure that was killed in 2006. There were transitional provisions for how to back out of the structure as well, which is another area they may have gone offside.
EDIT: One way the fine could have gotten so big is if they went offside on one of the requirements at a low level, and the whole structure goes belly up and all the distributions on the way up end up taxable. So the same cash distribution up could then be taxable many times over, without any permissible deduction. Talking a bit out my ass there, but that could be how the fine ends up so big, and if the CRA is within their right in the income tax act to do so, then you sue them for being seemingly unreasonable.
