    Post Incorporating in Delaware

    In the list of "is that really your job?", I'm looking into incorporating a subsidiary of my company in the USA, and seems like Delaware is the place to do it. Lots of "quick and easy incorporation websites, but they mostly seem focused on individuals incorporating their own business. I'm guessing there's some subtleties if the company is a wholly owned subsidiary.

    Anyone have advice or suggestions?

    Yeah, there's some big advantage of limited liability or punishing contract laws that make piles of US corporations want to be registered there.

    You can find a registered agent and lawyer to setup everything for you, you'll be one of 300,000 companies in the same 3000 sq ft office building.

    If you're going to make it a subsidy of your current company, make sure you dig into that. I have a holding company with several others below it, I was just going to use that same holdco for the US company, after some research, it was better off creating a completely separate holdco just for the sole purpose of owning the US companies. Of course it depends on your structure and intended use.

    Thought I'd bump this. If anyone works with a Delaware based corporate attorney, and they are responsive, please send me their contact info. Apparently the last one I called is too busy to take on new work. I can pick folks out of the google listings, and that's probably good enough, but . . . .
