    I'll be the first to admit its over my head. But court precedence is pretty clear and easy for anyone to follow, at this point Musk will be forced to buy Twitter unless there is literal fraud, and it will have to be a massive amount to come to anything.

    His meme was pretty interesting though, curious if he is playing 4d chess. Tries to back out of deal, Twitter sues, Musk gets the info he needs through disclosure.
    From what I've seen, some are saying that he put himself in a shitty position when he publicly stated that he was buying Twitter to eliminate the bots and now one of the reasons he wants out of the deal is because there are too many bots.

    The contract law is what would force him to pay the agreed upon penalty within the contract. The likelihood of being forced to buy Twitter is slim. Judges don't tend to swing that way, because of the likely outfall from such things. You're not going to force some NHL player to finish his contract with a team, because he is likely to just quit trying, which creates a bad situation and outcome for both the player and the team.

    I don't know what is so "LOL" about this for you? It's just the way these things tend to go.

The reality is, Twitter probably doesn't want Elon to own them, and Elon doesn't want to own them.     From my understanding, the contract out clause with the 1b penalty only allows for certain conditions. Inability to secure financing, or deal doesn’t close (example shareholder does not approve of merger). This is why twitter has stated that financing has been secured, want the lawsuit to happen before financing expired, and asking the court to force the deal pending September shareholder vote (which will 100% go through because of dropped share price). In addition to this, they’re arguing that there’s huge risks of loss to Twitter if it doesn’t go through, because they’ve given Elon unprecedented amounts of confidential data as per Elon’s request, and that he can use that info to start a competitor as he stated. Plus all the headcount reduction to reduce costs which Elon had a say in and pushed for because that was part of the merger agreement during this period. That and the bots doesn’t matter at all as it wasn’t part of the merger agreement since he waived due diligence completely for a quick close. Basically blaming Elon for the things Elon is complaining about.

    good luck on forcing the financing. Musk may have not had his terms buttoned up, but the lenders certainly do. They'll have a million different ways to pull the commitment.

    The consideration for not closing the deal will be large.

    Sounds like this Twitter thing is a done deal now, Musk owns it. Could take over as early as Friday. Looking forward to see if he puts his money where his mouth is and follows through on making it a free speech platform and wipes the bots.
