People saying Elon is bent over a barrel definitely don't understand the nuances and legal matters involved here. Twitter can threaten to sue him to pay the billion bucks for backing out. But Musk can certainly fight that in court. When you factor that Twitter claims they have 200 million users, but $150mil revenue, it becomes pretty clear they are massively lying about their user base. Is that something they want exposed in court?
And even if Musk gets forced to pay the billion, there's part of me wondering if he even cares? He pays the billion, Twitter value crashes because of him backing out plus him exposing the fraud, then he comes in and scoops the whole company up for 5 billion fair market value. Doesn't seem out of the realm of possibility. All in he pays 6 billion instead of 44billion.
And now there is all this drama a bout there potentially being some kind of National Security agreement in place at Twitter.
The lawsuit filed by twitter is an interesting read. Basically says everything elon bitching about is irrelevant, and out of scope in the contract while twitter bent over backwards to give him what he asked for even tho they didn’t need to. Elon literally asked twitter to waive due dillegence so that things can close faster. The other complaint about leaving execs was because elon refused to approve comp packages, and was actually asking twitter and telling staff he wants to reduce headcount. Apparently as part of the sale agreement he gets to review stuff like that.
Not sure what the real outcome is, the 1b breakup fee is for financing only and it seems that’s not an out. Twitter wants the court to force the sale to go through.
Anyways, good shitter reading material. Of course it’s one sided, but still entertaining.

The number of behind members who are qualified to review materials of that sort are X. The number who are sufficiently interested is y/X. I'm about y/EX.
I'll be the first to admit its over my head. But court precedence is pretty clear and easy for anyone to follow, at this point Musk will be forced to buy Twitter unless there is literal fraud, and it will have to be a massive amount to come to anything.

The Delaware chancery courts aren't your typical judges. They are highly experienced in business law and don't mess around. The reality is, Twitter probably doesn't want Elon to own them, and Elon doesn't want to own them.
