    He upped his own stake, but I'm pretty sure he intends to turn down loans for it. And attempt to get the whole deal done for 10 billion less than the original 44billion offer. Twitters SEC filings claim that less than 5% of their accounts are bots or fake accounts. Turns out it's over 20%. Which he likely figured out based on their ad revenue being so low in comparison to dollars per impression of other media platforms. So Twitter is bent over a barrel, they either agree to a lower price, or risk going to court and being exposed for fraud.

    You're entitled to believe whatever you want, former purchases like this are clear based on previous lawsuits of this nature, and Musk specifically waived his due diligence.

    The deal is as good as done. Even the $1bil "get out of the deal" clause doesn't apply here. He will be on the hook for billions if he does try to back out.

    Elon had no choice but to change plans. The margin loan needs 5x the stock value as pledge, and he didn’t have enough stock to pledge if prices dipped below around $730 assuming Tesla even allows him to pledge 100% of his shares. He had to raise commitment.

    That said, he doesn’t have the cash for that equity commitment, so if the deal closes, he needs to sell even more shares than he needs now to fund it, which will also tank tsla for a bit. Probably cheaper for him to walk away and pay $1b breakup fee at this point, but not sure if his ego can handle that haha.

    So, is this thing going to happen? Seems like the arguments about methodology to determine the percentage of fake accounts are not solved.

    It's getting spicy for sure.

    People saying Elon is bent over a barrel definitely don't understand the nuances and legal matters involved here. Twitter can threaten to sue him to pay the billion bucks for backing out. But Musk can certainly fight that in court. When you factor that Twitter claims they have 200 million users, but $150mil revenue, it becomes pretty clear they are massively lying about their user base. Is that something they want exposed in court?

    And even if Musk gets forced to pay the billion, there's part of me wondering if he even cares? He pays the billion, Twitter value crashes because of him backing out plus him exposing the fraud, then he comes in and scoops the whole company up for 5 billion fair market value. Doesn't seem out of the realm of possibility. All in he pays 6 billion instead of 44billion.

    And now there is all this drama a bout there potentially being some kind of National Security agreement in place at Twitter.

    The lawsuit filed by twitter is an interesting read. Basically says everything elon bitching about is irrelevant, and out of scope in the contract while twitter bent over backwards to give him what he asked for even tho they didn’t need to. Elon literally asked twitter to waive due dillegence so that things can close faster. The other complaint about leaving execs was because elon refused to approve comp packages, and was actually asking twitter and telling staff he wants to reduce headcount. Apparently as part of the sale agreement he gets to review stuff like that.

    Not sure what the real outcome is, the 1b breakup fee is for financing only and it seems that’s not an out. Twitter wants the court to force the sale to go through.

    Anyways, good shitter reading material. Of course it’s one sided, but still entertaining.

    I'll be the first to admit its over my head. But court precedence is pretty clear and easy for anyone to follow, at this point Musk will be forced to buy Twitter unless there is literal fraud, and it will have to be a massive amount to come to anything.

    His meme was pretty interesting though, curious if he is playing 4d chess. Tries to back out of deal, Twitter sues, Musk gets the info he needs through disclosure.

    The Delaware chancery courts aren't your typical judges. They are highly experienced in business law and don't mess around. The reality is, Twitter probably doesn't want Elon to own them, and Elon doesn't want to own them. It's not beyond the possibility that the courts force Elon to pay the delta between the $54.20 price he agreed to and the current price of twitter. Will be interesting to see.
