The contract law is what would force him to pay the agreed upon penalty within the contract. The likelihood of being forced to buy Twitter is slim. Judges don't tend to swing that way, because of the likely outfall from such things. From my understanding, the contract out clause with the 1b penalty only allows for certain conditions. Inability to secure financing, or deal doesn’t close (example shareholder does not approve of merger). This is why twitter has stated that financing has been secured, want the lawsuit to happen before financing expired, and asking the court to force the deal pending September shareholder vote (which will 100% go through because of dropped share price). In addition to this, they’re arguing that there’s huge risks of loss to Twitter if it doesn’t go through, because they’ve given Elon unprecedented amounts of confidential data as per Elon’s request, and that he can use that info to start a competitor as he stated. Plus all the headcount reduction to reduce costs which Elon had a say in and pushed for because that was part of the merger agreement during this period. That and the bots doesn’t matter at all as it wasn’t part of the merger agreement since he waived due diligence completely for a quick close. Basically blaming Elon for the things Elon is complaining about.
